Terms of Service Policy
Thanks for using our products and services (“Services”). The Services are provided by SkilRedi, Inc. (“SkilRedi”), located at 174 Reserve Drive, Piedmont, South Carolina, 29673, and are made available at skilredi.com (the “Site”). Throughout these Terms of Service (“Terms”), “you” or “your” shall refer to the individual or entity using the Site or Services as an end-user. If you represent or are affiliated with an educational institution, organization or other entity and wish to license or resell access to the Services including use of the educational content provided through the Services, please contact SkilRedi at contact@skilredi.com.
SkilRedi’s Privacy Policy and Terms of Service explain how we treat your personal data and protect your privacy when you use our Site or Services. By using our Site or Services, you agree that SkilRedi can use such data in accordance with our privacy policies.
By using our Services and the Site, you are agreeing to these terms. Please read them carefully.
Using our Services
You must follow any policies made available to you within the Services and/or on the Site, including the requirements below. You are expressly restricted from:
- Using the Site in any way that is, or may be, damaging to the Site;
- Selling, sublicensing, and/or otherwise commercializing the Services or any content offered within the Services or on the Site (other than as authorized in a separate written agreement between you and SkilRedi);
- Using the Site or Services contrary to applicable laws and regulations; or
- Engaging in any data mining, data harvesting, data extracting, or any other similar activity in relation to the Services or Site.
You may use our Services and the Site only as permitted by law and for non-commercial educational purposes. We may suspend or stop providing our Services to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.
Intellectual Property
Using our Services does not give you ownership of any intellectual property rights in our Services or the content you access. You may not use content from our Services other than as permitted through the Services unless you obtain permission from its owner or are otherwise permitted by law. These terms do not grant you the right to use any branding or logos used in our Services or on the Site. Don’t remove, obscure, or alter any legal notices displayed in or along with our Services.
Between you and SkilRedi, all right, title and interest in and to the Site and Services, including without limitation, all content provided through the Services (“Content”) and the software underlying the Site and Services (“Software”) shall be retained by SkilRedi. You shall not have the right to reproduce, modify, distribute, or create derivative works of the Site or Services, including its Content and Software.
Our Services and Site display and incorporate content, software and other materials we have licensed from other entities, including the Clemson University Research Foundation (“CURF”) and Clemson University (“Clemson”). CURF and Clemson retain all of its intellectual property rights in such content, whether under copyright, trademark, trade secret, etc. By accessing the Site, and using these Services, you agree to do nothing inconsistent with or to challenge these intellectual property rights or any intellectual property of SkilRedi in the Site or Services.
In connection with your use of the Services, we may send you service announcements, administrative messages, and other information. You may opt out of some of those communications.
Your SkilRedi Account
You may need an account in order to use some of our Services (a “SkilRedi Account”). You may create your own SkilRedi Account, or your SkilRedi Account may be assigned to you by an administrator, such as your employer or educational institution. If you are using a SkilRedi Account assigned to you by an administrator, different or additional terms may apply, and your administrator may be able to access or disable your account.
By creating a SkilRedi Account, you give us permission to send you emails to the email address associated with your SkilRedi Account, including for the purpose of communicating updates about the Services.
To protect your SkilRedi Account, keep your password confidential. You are responsible for the activity that happens on or through your SkilRedi Account. Try not to reuse your SkilRedi Account password on third-party applications. If you learn of any unauthorized use of your password or SkilRedi Account, contact SkilRedi or your administrator immediately. SkilRedi will not be liable for any loss that may incur as a result of someone else using your password or account, either with or without your knowledge. You may not use anyone else’s account at any time, and you may not transfer, sell or otherwise grant access to your account to anyone else.
Upon cancellation or termination of your access to password protected areas of the Services, SkilRedi reserves the right to deactivate your account and delete your user profile.
Privacy and Copyright Protection
We respond to notices of alleged copyright infringement and terminate accounts of repeat infringers according to the process set out in the U.S. Digital Millennium Copyright Act. For more information, please see our DMCA Policy, attached to the end of these Terms.
Modifying and Terminating our Services
We are constantly changing and improving our Services. We may add or remove functionalities or features, and we may suspend or stop a Service altogether.
You can stop using our Services at any time, although we’ll be sorry to see you go. SkilRedi may also stop providing Services to you or add or create new limits to our Services at any time.
We believe that you own your data and preserving your access to such data is important. If we discontinue a Service, where reasonably possible, we will give you reasonable advance notice and a chance to get information out of that Service.
Our Warranties and Disclaimers
We provide our Site and Services using a commercially reasonable level of skill and care and we hope that you will enjoy using them. But there are certain things that we don’t promise about our Site or Services.
YOUR USE OF THE SITE AND SERVICES PROVIDED THEREIN IS AT YOUR SOLE RISK UNLESS EXPLICITLY STATED OTHERWISE. UNLESS EXPLICITLY STATED OTHERWISE, THE SITE AND SERVICES AND ALL CONTENT IS ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE” AND “WITH ALL FAULTS” BASIS. UNLESS EXPLICITLY STATED OTHERWISE OR REQUIRED UNDER APPLICABLE LAW, SKILREDI DISCLAIMS ALL EXPRESS OR IMPLIED CONDITIONS, REPRESENTATIONS AND WARRANTIES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OR CONDITION OF ACCURACY, MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SKILREDI MAKES NO REPRESENTATIONS, WARRANTIES, CONDITIONS OR GUARANTEES AS TO THE USEFULNESS, QUALITY, SUITABILITY, TRUTH, ACCURACY OR COMPLETENESS OF THE SITE OR THE SERVICES PROVIDED THEREIN. SKILREDI MAKES NO WARRANTY OR REPRESENTATION THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE OR FREE OF ANY VIRUSES, TROJAN HORSES OR WORMS.
UNLESS EXPLICITLY STATED OTHERWISE, YOU ASSUME ALL RISKS CONCERNING THE SUITABILITY AND ACCURACY OF THE INFORMATION WITHIN THE SITE AND SERVICES. THE SITE AND THE SERVICES MAY CONTAIN TECHNICAL INACCURACIES, TYPOGRAPHICAL ERRORS OR OMISSIONS. SKILREDI ASSUMES NO RESPONSIBILITY FOR AND DISCLAIMS ALL LIABILITY FOR ANY SUCH INACCURACIES, ERRORS OR OMISSIONS. NOTHING ON THE SITE OR SERVICES SHALL BE CONSTRUED AS PROVIDING CONSULT OR ADVICE TO YOU AND IS PROVIDED ONLY FOR EDUCATIONAL AND ENTERTAINMENT PURPOSES.
Liability for our Services
TO THE FULLEST EXTENT PERMITTED BY LAW, SKILREDI, ITS AFFILIATES AND LICENSORS AND ANY OTHER OF ITS OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF BUSINESS, REVENUE, PROFITS, GOODWILL, USE, DATA, OR OTHER ECONOMIC ADVANTAGE) ARISING OUT OF OR IN CONNECTION WITH THE SITE OR SERVICES, EVEN IF SKILREDI HAS PREVIOUSLY BEEN ADVISED OF, OR REASONABLY COULD HAVE FORESEEN, THE POSSIBILITY OF SUCH DAMAGES, HOWEVER THEY ARISE, WHETHER IN BREACH OF CONTRACT OR IN TORT (INCLUDING NEGLIGENCE), INCLUDING, WITHOUT LIMITATION, DAMAGES DUE TO: (a) THE USE OF OR THE INABILITY TO USE THE SITE OR SERVICES; OR (b) ANY CONTENT OR INFORMATION THAT YOU MAY ACCESS OR USE. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, SKILREDI’S AGGREGATE LIABILITY, AND THE AGGREGATE LIABILITY OF ITS LICENSORS, TO YOU OR ANY THIRD PARTIES FOR ANY CLAIMS ARISING OUT OF THE USE OF THIS SITE OR ITS SERVICES IS LIMITED TO THE AMOUNT OF ANY PAYMENTS YOU MADE TO SKILREDI IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH CLAIM. TO THE EXTENT THAT ANY JURISDICTION DOES NOT ALLOW THE EXCLUSION OR LIMITATION OF DIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, PORTIONS OF THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY.
You will indemnify, defend and hold SkilRedi, and its subsidiaries, affiliates, predecessors, successors in interest, officers, managers, agents, licensors and employees, harmless from any claims, demand, loss or expense, including reasonable attorneys’ fees, made by any third party relating to or arising out of your use of the Site or the Services, your violation of these Terms of Service or your violation of any third party’s rights, including the infringement of a third party’s intellectual property rights.
You agree not to hold SkilRedi responsible for any action, inaction, omission or misstatement made by other users or for any harm arising from the Site or the Services.
Information of Children
The Site and Services not intended for independent use by minors under the age of 13. We do not allow children under the age of 13 to create and access individual accounts on the Site or Services.
Minors under the age of 13 may only access and use the Site and Services with permission of a guardian or parent or as part of a learning institution, organization or other entity. school or district via their use of the Chrome extension, which is installed by the school or district. The Site and Services may collect personal information of students who are under the age of 13. Names, email addresses, and School or Community Information are examples of information that may be collected. This information is used for the following legitimate business purposes to provide access to the Content to the student for education use. SkilRedi will not require a child to disclose more information than is reasonably necessary to participate in any activity associated with the Services and obtain access to the Content. About these Terms
These Terms and our Privacy Policy constitute the sole and entire agreement between you and SkilRedi with respect to the Site and Services and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Site and Services.
If you have not already done so, you should print or save a copy of the Terms of Use for your future reference.
No agency, partnership, employment, or joint venture is created through the terms.
SkilRedi shall not be liable for any failure or delay in its performance under these terms (including, without limitation, provision of the Services) due to any cause beyond its reasonable control, including acts of war, acts of God, earthquake, flood, embargo, riot, sabotage, labor shortage or dispute, governmental acts, acts of third parties, failures of third party software or equipment (including, without limitation, any required third party components), power or electrical failures, internet protocol packet loss or misrouting, and any internet connectivity failures.
We may modify these terms or any additional terms that apply to a Service to, for example, reflect changes to the law or changes to our Services. You should look at the terms regularly. We’ll post notice of modifications to these terms on this page. We’ll post notice of modified additional terms on the Site and/or in the applicable Service. Changes will not apply retroactively and will become effective no sooner than fourteen days after they are posted. However, changes addressing new functions for a Service or changes made for legal reasons will be effective immediately. If you do not agree to the modified terms for a Service, you should discontinue your use of that Service.
You shall not assign the terms or any of your rights or obligations hereunder, and any purported assignment of the terms by you in contravention of the foregoing shall be null and void.
If there is a conflict between these terms and the additional terms, the additional terms will control for that conflict.
These terms control the relationship between SkilRedi and you. They do not create any third-party beneficiary rights.
If you do not comply with these terms, and we don’t take action right away, this doesn’t mean that we are giving up any rights that we may have (such as taking action in the future).
If it turns out that a particular term is not enforceable, this will not affect any other terms.
The laws of the state of South Carolina, excluding South Carolina’s conflict of laws rules, will apply to any disputes arising out of or relating to these terms or the Services. You hereby submit to the non-exclusive jurisdiction of the state and federal courts located in South Carolina for the resolution of any disputes.

DMCA Policy
SkilRedi respects the intellectual property rights of others. We ask our users to do the same. SkilRedi, in its exclusive discretion, may terminate the accounts of users it believes may be infringing the copyright, trademark or other intellectual property rights of others.
It is our policy to respond expeditiously to claims of infringement. SkilRedi will promptly process and investigate notices of alleged copyright and/or trademark infringement and will take appropriate actions under the Digital Millennium Copyright Act (“DMCA”) and other applicable laws.
a. Notice of Copyright Infringement
To notify us of copyright infringement, please send a written communication to our DMCA Coordinator, listed below in subpart (c), below. That communication should include:
1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
2. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site.
3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material.
4. Information reasonably sufficient to permit us to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted.
5. A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
6. A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
b. Counter-Notice by Registered User
If you are a registered user and we have taken down your materials due to an allegation of copyright infringement, you may dispute the allegation by sending a written communication to our DMCA Coordinator, listed in subpart (c) below pursuant to the DMCA.

d. Termination of Repeat Infringers
In appropriate circumstances, we will terminate the accounts of subscribers who are repeat copyright infringers.
